Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of Azure Trail's website and services. Azure Trail is a company registered in England and Wales, with its registered office at Studio 44z Mitchell Point, Wrightfort TN15 8JE, United Kingdom.

By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Definitions

  • "Company" refers to Azure Trail
  • "Services" refers to all IT consulting services provided by the Company
  • "Client" refers to any individual or organization using our services
  • "Website" refers to azure-trail.com and all associated subdomains
  • "Agreement" refers to these Terms and any service-specific agreements

3. Use of Services

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into agreements to use our services. By using our services, you represent that you meet these requirements.

3.2 Permitted Use

You may use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit harmful or malicious content
  • Attempt unauthorized access to our systems
  • Interfere with the proper working of our services
  • Use our services for competitive intelligence gathering

4. Service Agreements

4.1 Consultation and Proposals

All services begin with an initial consultation. Following this, we will provide a detailed proposal outlining the scope of work, timeline, and fees. Services commence only upon mutual agreement and execution of a service agreement.

4.2 Service Delivery

We will provide services with reasonable skill and care in accordance with industry standards. Specific deliverables, timelines, and performance criteria will be detailed in individual service agreements.

4.3 Client Responsibilities

Clients must:

  • Provide accurate and complete information
  • Grant necessary access to systems and data
  • Respond promptly to requests for information
  • Ensure proper backup of critical data
  • Comply with all applicable laws and regulations

5. Fees and Payment

5.1 Payment Terms

Fees are as specified in individual service agreements. Unless otherwise agreed, payment terms are net 30 days from invoice date. Late payments may incur interest charges at the rate of 1.5% per month.

5.2 Expenses

Client will reimburse reasonable expenses incurred in providing services, including travel, accommodation, and third-party software licenses, when pre-approved.

5.3 Taxes

All fees are exclusive of applicable taxes, duties, and charges, which will be added to invoices as required by law.

6. Intellectual Property

6.1 Company IP

All methodologies, frameworks, tools, and pre-existing intellectual property used by Azure Trail remain our exclusive property. Clients receive a non-exclusive license to use deliverables for their internal business purposes only.

6.2 Client IP

Clients retain ownership of their pre-existing intellectual property and data. We claim no ownership rights in client's proprietary information.

6.3 Developed IP

Intellectual property developed specifically for a client during service delivery will be owned by the client, subject to our retained rights in general methodologies and know-how.

7. Confidentiality

We maintain strict confidentiality regarding all client information and will not disclose confidential information except as required by law or with explicit client consent. This obligation continues indefinitely after termination of services.

Confidential information does not include:

  • Information that is publicly available
  • Information independently developed without use of confidential information
  • Information rightfully received from third parties
  • Information required to be disclosed by law

8. Limitation of Liability

8.1 Liability Cap

Our total liability for any claims arising from services provided shall not exceed the total fees paid by the client for the specific services giving rise to the claim, or £100,000, whichever is less.

8.2 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

8.3 Time Limitation

Any claim must be brought within one year of the date the claim first arose, regardless of when the claim was discovered.

9. Indemnification

Client agrees to indemnify and hold harmless Azure Trail from any claims, damages, or expenses arising from:

  • Client's breach of these Terms
  • Client's violation of applicable laws
  • Client's infringement of third-party rights
  • Client's negligent or wrongful acts
  • Use of our services in a manner not authorized by these Terms

10. Termination

10.1 Termination for Convenience

Either party may terminate a service agreement with 30 days' written notice. Client remains liable for all fees for services provided prior to termination.

10.2 Termination for Cause

Either party may terminate immediately upon written notice if the other party:

  • Materially breaches these Terms and fails to cure within 15 days
  • Becomes insolvent or files for bankruptcy
  • Ceases business operations

10.3 Effect of Termination

Upon termination, we will cease providing services and return client materials. Provisions regarding payment, confidentiality, and limitation of liability survive termination.

11. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government actions, or natural disasters.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

12.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.3 Alternative Dispute Resolution

Before initiating court proceedings, parties agree to attempt resolution through good faith negotiations and, if necessary, mediation through a mutually agreed mediator.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any service-specific agreements, constitute the entire agreement between the parties and supersede all prior understandings.

13.2 Amendments

We may update these Terms from time to time. Material changes will be communicated via email or website notice at least 30 days before taking effect.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Waiver

No waiver of any term or condition shall be deemed a continuing waiver or waiver of any other term or condition.
